Relocating from a high-multiplier city (460%) to a nearby low-multiplier municipality (280%) on $100m EBIT ≈ about $6.3m more net income per year. Siting strategies:
- Holding structure: a holding company in a low-multiplier municipality — profits are pushed up via the participation exemption.
- Function relocation: move treasury and management to a low-multiplier location; the operating sub stays put. Valuation implication: in carve-out valuations, compute a "stand-alone tax rate" based on the location of the unit being acquired.
