Under a participation exemption, dividends and capital gains from shareholdings in corporations are 95% tax-exempt (5% is treated as a non-deductible business expense). Effective tax burden: ~1.5% (5% × 30% effective tax rate). Holding-quota requirement: for corporate income tax, generally no minimum quota (except free-float stakes <10% for dividends, which are fully taxed). For local business tax: a ≥15% shareholding is needed for the exemption. Valuation implications:

  • Holding structures are very tax-efficient for stake sales (distributions and exits are nearly tax-free at the holdco level).
  • M&A structuring leverage: asset deal vs. share deal — a share deal through a holding uses the exemption; an asset deal triggers full taxation.
  • Holding-location advantage: competitive with other established holding jurisdictions.
