Estate/gift-tax relief on the transfer of business assets by inheritance or gift.
- Standard relief: 85% exempt subject to 5-year payroll-maintenance and holding-period conditions.
- Optional relief: 100% exempt subject to a 7-year period and stricter conditions. Requirements: (a) a corporate shareholding of ≥25%. (b) An "administrative assets" ratio ≤90% (standard) or ≤20% (option). (c) Payroll maintenance. Valuation/structuring implication: (1) family-business handovers: structure to eliminate administrative assets (cash, securities, leased real estate count against you). (2) Cash-pool traps: too much liquidity on the balance sheet raises the administrative-assets ratio → relief jeopardized. (3) A pre-handover restructuring (spinning out administrative assets) can cut the estate-tax burden by 30–70%. (4) For very large transfers, a means-test threshold applies above a high asset level (here about $26m).
