Compare actual closing working capital to the agreed normalized working-capital target. If actual exceeds target, purchase price increases; if below target, purchase price decreases. Define included accounts carefully and exclude cash, debt, tax, and debt-like items unless specified. Use historical monthly data to set the target and avoid seasonality distortion.
